Chapter 6 - Freezing the Assets

The conference room at Sterling & Associates smelled of high-grade leather, expensive paper, and quiet authority.
Sarah Sterling pushed a thick manila folder across the mahogany table toward me. Her manicured nails tapped against the top page.
"You did a remarkable job, Claire," Sarah said, a small, predatory smile touching her lips. "By sending the forensic files directly to Apex Capital and the SEC simultaneously, you triggered the emergency covenants in Daniel’s master credit agreement. As of ten-fifteen this morning, First Midwest Bank placed an administrative freeze on every single operating and investment account associated with Vale Holdings."
"What about the personal accounts?" I asked.
"Frozen," Sarah confirmed. "Because Daniel used personal collateral to back the mezzanine loans, Apex filed an ex parte emergency petition for a temporary restraining order in the Cook County Chancery Division. The judge signed it forty minutes ago. Daniel cannot move more than five hundred dollars without court approval."
"And Vanessa?"
Sarah turned a page. "Vanessa Vance is in a full-blown panic. We had an investigator stationed outside the Vale Holdings tower. At ten-thirty, she attempted to walk out of the building with two designer bags stuffed with company-issued corporate credit cards, petty cash vouchers, and four high-end luxury watches from Daniel’s personal safe."
"Did she make it to her car?"
"Building security intercepted her at the turnstiles under instructions from the board of directors," Sarah said with evident satisfaction. "They confiscated the bags and escorted her off the premises. Her company phone was terminated at eleven. According to our sources inside the office, Daniel fired her in the hallway right before security dragged her out, screaming that she had ruined his life."
I leaned back in my chair, feeling the cool leather against my shoulders.
It was pathetic, really. Daniel had thrown away eleven years of marriage, mutual trust, and an empire for a woman he cast aside the exact second the pressure rose by two degrees. Men like Daniel didn't love anyone. They loved the reflection of their own power in the eyes of people they could manipulate. Once the power vanished, the mirrors shattered.
"What is our next move?" I asked.
Sarah slid another document across the desk. It was an emergency filing for dissolution of marriage, paired with a petition for immediate partition of all marital assets and a temporary restraining order.
"We strike while he's drowning," Sarah said. "Because Daniel commingled marital assets with his fraudulent shell companies, we have the legal right to claim fifty percent of the gross assets *before* the lenders liquidate his remaining equity. But there’s something even better, Claire."
"What?"
Sarah pointed to a signature line at the bottom of the master incorporation agreement for Vale Holdings from seven years ago.
"Daniel thought he was being clever when he structured the parent entity," Sarah explained. "To minimize his personal tax exposure at the time, he listed you as the fifty-one percent majority owner of the general partner entity that controls the voting shares of Vale Holdings LLC. He assumed you would never look at the corporate resolution documents."
I looked down at the paper. My own signature stared back at me, dated seven years ago.
"He never owned the company," I whispered.
May you like
"No," Sarah said, her eyes gleaming. "He was the managing director. You were the majority owner. He was merely an employee you had the power to fire."
