Chapter 7 - The Boardroom Coup

The morning of the emergency board meeting arrived on a crisp October Monday.

While Adrian was in Manhattan frantically trying to rally support among his institutional shareholders, Naomi and I sat in a high-end conference room in downtown Seattle. Through a secure, high-definition video link, we were patched directly into the Meridian Global boardroom on the 50th floor of the Meridian Tower in New York.

The large screen showed twenty board members seated around a massive mahogany table. Adrian sat at the head, looking haggard. The dark circles under his eyes were visible even through the high-resolution feed, his hair uncharacteristically disheveled, his expensive suit hanging loosely on his frame.

Beside him sat his chief legal officer, looking equally defeated.

“This emergency session of the Board of Directors is now in order,” announced Director Chen, the lead independent director. “We have convened to address the ongoing legal injunctions, the suspension of the EuroFreight merger, and the technical audit failure regarding the Meridian Pulse core IP.”

Chen turned his head toward the large wall monitor where my face appeared.

“Mrs. Evelyn Reed is joining us remotely as the sole Trustee of Northstar Trust,” Chen continued. “Evelyn, thank you for agreeing to speak with the board.”

“Thank you, Director Chen,” I said clearly, my voice projecting with steady authority through the Manhattan boardroom speakers. “I will keep my statement brief. Eight years ago, I authored the fundamental algorithms behind Meridian Pulse. Northstar Trust licensed this software to Meridian Global under strict conditions of corporate integrity, transparency, and lawful operation.”

Adrian slammed his hand onto the table, standing up abruptly. “This is a domestic dispute! The board has no business listening to a personal vendetta executed by my ex-wife!”

“Sit down, Adrian!” Director Chen snapped, his voice ringing like a gavel. “You lied to this board regarding the ownership of our primary asset! You presented forged documents to our compliance team!”

“I built this company!” Adrian shouted, his face flushing dark red. “Every valuation metric, every client relationship, every dollar of revenue came from my leadership!”

“Your leadership is currently under federal investigation for wire fraud,” Naomi spoke up from beside me, her voice razor-sharp. “The Southern District of New York has subpoenaed your administrative records, Mr. Vane. The autopen logs confirming the execution of forged signatures on marital settlement releases have already been turned over by your former executive assistant under a non-prosecution cooperation agreement.”

The room went dead silent. Several board members gasped, exchanging terrified looks.

Adrian stumbled back slightly, slowly sinking back into his leather chair as if all air had been pulled from his lungs.

“As the Trustee of Northstar Trust,” I continued calmly, “I am officially notifying the board that Meridian Global is in material breach of Section 14 of the master licensing agreement. However, Northstar Trust has no desire to destroy the employment of four thousand engineers and logistics operators working for this company.”

Director Chen leaned forward eagerly. “What are your terms, Evelyn?”

“I will execute a new, permanent IP transfer to Meridian Global on three non-negotiable conditions,” I stated.

“Name them,” Chen said immediately.

“First, the immediate termination of Adrian Vane as Chief Executive Officer and Chairman of the Board, with cause, forfeiting all golden parachute severance packages and performance stock options.”

Adrian let out a choked sound, looking around the table for support. Not a single director looked at him. They all kept their eyes fixed on me.

“Second,” I continued, “the immediate appointment of an interim CEO selected by the independent audit committee, subject to Northstar’s approval.”

“And the third condition?” Chen asked.

I adjusted my position in my chair, looking directly into the camera lens at Adrian.

“Third, fifty-one percent of Adrian Vane’s remaining personal equity in Meridian Global will be permanently transferred into an irrevocable trust established for the benefit of our two children, managed independently by Naomi Price, to compensate for the illegal conversion of marital assets.”

“That’s financial execution!” Adrian yelled, standing up again, his voice cracking with hysteria. “You’re stripping me of everything! You can’t do this!”

“We have a quorum,” Director Chen said, ignoring Adrian entirely. He looked around the table. “All those in favor of accepting Trustee Reed’s conditions to save the company, raise your hand.”

Nineteen hands went up instantly.

The only hand that remained on the table belonged to Adrian Vane.
