Chapter 4 - The Boardroom Coup

By noon on Christmas Day, Corbin, his mother, and Alyssa had been escorted off the property by the deputies, carrying their clothes in plastic luggage while my father and I watched from the front porch. The locks were changed within two hours by a commercial locksmith Dad had put on retainer.

For the next two weeks, I stayed at the house with Wren, recovering my strength while my father and Richard Vance executed the next phase of our response.

Corbin thought losing the house was the worst that could happen to him. He was wrong. He had forgotten that his commercial logistics company, Mercer Logistics Inc., relied heavily on three major regional transport contracts—contracts that had been secured through my father's military and corporate connections in Des Moines.

On the second Monday of January, Corbin walked into the executive boardroom at Mercer Logistics headquarters in downtown Cedar Falls, expecting a standard quarterly review meeting with his primary investors.

Instead, when he opened the double mahogany doors, he found my father sitting at the head of the conference table.

Sitting beside Dad were the three primary equity holders of Mercer Logistics: Arthur Pendelton, a defense contractor supplier; Sarah Lin, a major Midwest freight executive; and Richard Vance.

Corbin stopped dead in his tracks, his briefcase frozen in his hand. "What is this? Everett? What are you doing in my company's boardroom?"

"Sit down, Corbin," Arthur Pendelton said sternly. Arthur was a sixty-year-old former Marine who had known my father for twenty-five years. He pointed to an empty chair at the foot of the table.

Corbin cleared his throat, trying to regain his posture as he slid into the chair. "Look, if this is about my personal split with Hannah, I don't think it's appropriate to bring family drama into a corporate setting—"

"This isn't about family drama, Corbin," Sarah Lin interrupted coldly, sliding a folder across the polished table. "This is about gross financial negligence and corporate embezzlement."

Corbin blinked, turning pale. "Embezzlement? That's insane! I run this company!"

"You ran this company," Richard Vance corrected, opening a thick financial audit. "Over the past eighteen months, you authorized over $230,000 in 'consulting fees' paid directly to an offshore shell account registered under the name Apex Strategy Holdings. Do you care to tell the board who owns Apex Strategy Holdings?"

Corbin swallowed hard, his throat suddenly bone-dry. "It's... it's a legitimate marketing firm..."

"It's an un-registered entity owned entirely by Alyssa Vance—no relation to me—your current girlfriend," Vance stated flatly. "You took operational capital funded by this board and diverted it to pay for personal luxuries, including a luxury condo lease in Des Moines and high-end jewelry purchases made during business trips."

"I can explain that!" Corbin panicked, looking at Arthur Pendelton. "Arthur, you know me! I’ve built this company's revenue up twenty percent this year!"

"You built that revenue using Colonel Langston's military logistics contacts," Arthur said, his eyes filled with contempt. "Contracts that specifically require the CEO to maintain high ethical standards and clear security compliance. Misappropriating company funds to pay off a mistress is a direct violation of our charter."

Dad slowly leaned forward, placing his heavy hands on the table.

"Four years ago, Corbin, when I helped you secure your initial corporate bond, I took twenty-five percent non-voting equity as collateral," Dad said smoothly. "Last night, Arthur and Sarah transferred their voting proxy rights to me. Combined, we hold sixty-eight percent of Mercer Logistics."

Corbin stared at my father as the reality of his situation crashed down on him. "You... you bought out my board?"

"We didn't buy anyone out, Corbin," Dad said softly. "They simply realized you were a liability. Effective immediately, by a majority vote of the board of directors, you are removed from your position as Chief Executive Officer."

"You can't do this!" Corbin yelled, slamming his hands on the table as he stood up. "I built this company from nothing! My name is on the building!"

"Then you’d better grab a ladder and take it down," Sarah Lin remarked coldly. "Because security is currently clearing out your desk."

Right on cue, two heavy-set corporate security guards stepped into the boardroom.

"Mr. Mercer," the lead guard said, placing a heavy hand on Corbin's shoulder. "Please surrender your keycard and company phone. You are being escorted off the premises immediately."

Corbin looked at my father, his eyes filled with a mixture of rage, terror, and absolute helplessness. "Everett... please. Don't do this to me. I have nothing left!"

May you like

Dad met his gaze without a single flicker of emotion.

"You had a wife who loved you, a daughter who adored you, and a home that protected you," Dad said quietly. "You threw them out into a snowstorm for cheap greed. You didn't just lose a company today, Corbin. You lost everything you ever pretended to be."
