Chapter 5 - Frozen Assets

Margaret Sterling tilted her head, a slow, razor-thin smile touching her lips for the first time that evening.

"I was under the impression," Margaret said, her voice carrying the dry authority of forty years on Wall Street, "that Mr. Mercer was the sole managing partner empowered to discuss recapitalization."

"Mr. Mercer," Evelyn replied, without looking at the man still standing beside the table like an awkward, discarded waiter, "has been placed on administrative leave pending the results of an independent forensic audit by Thorne & Associates. Effective immediately."

"You can't do that unilaterally!" Grant barked, stepping toward the table, slamming both palms down onto the linen. Wine sloshed in the crystal glasses. "I founded Mercer Vale! My name is on the door! The limited partners invested in *me*, Evelyn! Not some ghost trust run by your dead father's lawyers!"

"Your name is on the brass plaque in the lobby, Grant," Rebecca Thorne interjected calmly, turning a page on her tablet. "The corporate charter, however, is registered to Mercer-Halden Holdings LLC, a Delaware entity in which the Halden Trust holds seventy percent of the super-voting Series A shares under condition of governance default. The default occurred the moment your Chief of Staff committed an assault on camera during an official corporate function, coupled with the unauthorized transfer of twelve million dollars from the offshore operational account to an entity titled 'Vance Capital Holdings' three days ago."

Thomas Cole put his head in his hands. A low groan escaped him.

Grant’s face drained of the last vestige of color. "What did you say?"

"Did you think I didn't see the transfer, Grant?" Evelyn asked, her gaze steady, cold, and unrelenting. "Did you think that because I let you manage the public profile, I wasn't auditing the custodial accounts every Friday evening? You took twelve million dollars of Halden collateralized reserves to seed an independent shell fund for Caroline Vance, hoping to shift your exposure before the quarterly SEC filings."

"Evelyn... that was an internal hedge," Grant stammered, his eyes darting frantically between Thomas and Margaret Sterling. "Thomas, explain the structure to her! It was a secondary liquidity hedge!"

"Don't bring me into this, Grant," Thomas whispered, his voice trembling. "I told you that transfer was illegal. I told you we needed board sign-off. You signed the wire release under your personal executive override."

"You coward," Grant snarled at him. "You signed off on the compliance memo!"

"Which he did under duress," Rebecca noted smoothly. "A memo Mr. Cole surrendered to my office at four o'clock this afternoon, in exchange for limited indemnification from the Halden Trust."

Grant stared at his Chief Financial Officer. The betrayal was complete, total, and absolute. The trap had not been sprung tonight; it had been laid weeks ago, brick by brick, document by document, while Grant had been smugly entertaining Caroline in five-star hotels, convinced his quiet wife was oblivious at home.

"You set me up," Grant whispered, his chest heaving.

"You set yourself up, Grant," Evelyn replied. "You simply mistook my patience for ignorance. A mistake men of your caliber make far too often."

She raised her hand, signaling the waitstaff who had been hovering near the perimeter. "Please clear Mr. Mercer's place setting. He will not be joining us for the rest of the evening."
